Ex-PE & IB: Capital Raise, Models, M&A , VC , Fractional CFO
I’m the finance seat you bring in when the decision matters — raising capital, buying or selling a company, or getting a business ready for someone to write a cheque. Sixteen years: a decade in corporate credit and project finance deciding which companies got funded, then the investing side as a private equity Principal and venture studio co-founder deciding which ones to back. I’ve also founded and sold a company, so I know how it feels from the chair you’re sitting in. TRANSACTION & CAPITAL RAISE MODELLING Investor-grade models built the way a deal team expects to open them in diligence — not templates, and not pretty forecasts that fall apart under questioning. Integrated three-statement models, monthly then annual, with driver-based operating builds and clean input / calc / output separation. Historicals and adjusted EBITDA bridges. Unit economics and capacity-driven revenue builds, including multi-site and multi-facility rollouts with per-site capex, ramp curves and utilisation rolling up to consolidated. Working capital builds — milestone billing, retainage, inventory, AR and AP. Debt schedules across term, ABL and equipment financing, with covenant and DSCR testing. Transaction modules: sources and uses, pro forma close balance sheet, pre- and post-money cap table. Returns and valuation — IRR, MOIC, exit multiples, DCF. Scenarios, sensitivities and built-in integrity checks. I’ll also prepare the financial section of your data room and sit alongside your banker on diligence Q&A. I spent ten years as the person asking those questions. CAPITAL ADVISORY What you can realistically raise and on what terms, which instrument fits, investor and lender targeting, narrative, and term sheet review. I know what gets a file declined before you send it. M&A AND DEAL SUPPORT Buy-side and sell-side. Target screening, commercial and financial diligence, valuation, structuring, and preparing a business so a buyer pays a real multiple rather than discounting it for risk. PRIVATE EQUITY & VENTURE CAPITAL SUPPORT Investment memos and IC papers, diligence, portfolio monitoring, co-investment analysis. Fund-level work too: structures, LPA and governance review, manager selection and LP materials. I built a bank’s buy-side investment function from inception across three funds. FRACTIONAL & INTERIM CFO I own the finance function — reporting that holds up, a KPI framework you actually run the business with, board materials, cash discipline, and the judgment calls above the bookkeeper. Typically 10–20 hours a month on retainer. Sector depth in B2B and SaaS: retention, CAC payback, Rule of 40, ASC 606 revenue recognition, and a chart of accounts that survives a Series A diligence pass. WHY THIS BACKGROUND At Barclays, QNB and Société Générale I managed a US$10 billion corporate portfolio, arranged syndicated and project finance transactions as Mandated Lead Arranger, structured PPP deals, and led a 16-person underwriting team. Debt structuring, covenants and credit committee logic aren’t theory to me. As a Principal at a US private equity firm I led mid-market transactions across emerging markets. As co-founder and CIO of a venture studio I spun out three technology companies and ran the investment committee process. HOW I WORK I roll up my sleeves and take ownership of your finance and capital raising function , I will tell how things works , how to make your deal bankable/investable , what to change , what to remove , what to bring in to the deal, I bring real life experience not just theory. I have sat in the lender, investor, and founder seats. Most advisors have sat in one of those chairs. Based in Toronto. English and Arabic. CFA Level II candidate.
