Mexican Corporate & Tax Attorney / Civil, & Administrative Law

I help international companies, investors, startups, and law firms establish, operate, and manage legal risk in Mexico. I am a licensed Mexican attorney and external counsel with experience across corporate, commercial, employment, tax, administrative, regulatory, real estate, and civil matters. I work with both Mexican and international businesses, helping clients understand not only what Mexican law requires, but how those requirements need to be implemented in the actual business. My practice combines legal analysis, regulatory strategy, contracts, dispute prevention, and operational compliance. I am particularly effective in matters where legal requirements intersect with business operations, technology, internal controls, or government authorities. Mexican Legal & Regulatory Counsel I advise on matters including: • Corporate structures, governance, powers of attorney, shareholder and business agreements • Commercial, civil, real estate, and technology-related contracts • Employment agreements, NDAs, internal policies, terminations, and Mexican labor compliance • Foreign companies entering or operating in Mexico • Regulatory compliance, permits, inspections, sanctions, and government proceedings • SAT requirements, Tax Mailbox matters, tax controversies, administrative appeals, and tax litigation • Constitutional injunctions (amparo) involving tax and administrative matters • Digital Tax Seal (CSD) restrictions or cancellations and related administrative defense • Carta Porte, customs documentation, inventory controls, warehouses, and logistics compliance • Administrative proceedings before municipal, state, and federal authorities • Legal research, regulatory assessments, risk analysis, and bilingual legal drafting I have worked directly on matters involving SAT, UIF, IMSS, INFONAVIT, STPS, state tax authorities, Public Registries, municipal authorities, and other Mexican government bodies, including compliance, administrative proceedings, and legal defense. Cross-Border & International Counsel For international clients, I serve as a Mexico-side legal resource, helping foreign counsel, executives, investors, and companies understand and implement Mexican requirements. This can include: • Mexican entity formation and corporate structuring • Foreign investment and local operational requirements • Contracts involving Mexican counterparties, employees, vendors, or customers • Employment and workforce compliance • Tax and administrative exposure • Regulatory requirements and government interactions • Due diligence and legal risk assessments • Localization of international policies and business models for Mexico • Coordination with Mexican notaries, accountants, brokers, consultants, and other local professionals I work comfortably in English and Spanish and can communicate Mexican legal issues in practical terms for international legal and business teams. Legal Operations & Technology A significant part of my experience is at the intersection of law, operations, and technology. I have designed and implemented digital systems for legal and business operations, including databases, CRM workflows, document management, task management, audit trails, evidence repositories, and traceability systems. I have worked with technology and engineering professionals to translate legal and operational requirements into structured workflows, data fields, business rules, controls, and implementation logic. This experience is particularly useful when a client needs more than a legal memo, for example, when legal requirements need to become part of a company's HR system, compliance workflow, inventory process, CRM, internal controls, or technology platform. My Approach I do not approach Mexican legal matters as isolated document-drafting exercises. I first understand the business model, transaction, operational process, counterparties, and regulatory environment. I then identify the relevant legal risks, distinguish mandatory requirements from areas of interpretation or discretion, and develop a practical path forward. The objective is to give clients advice that is: Legally grounded. Commercially practical. Clearly documented. Defensible under scrutiny. I am available for both **discrete legal assignments and ongoing external-counsel relationships with companies, investors, international law firms, and professional-services teams that need reliable Mexican legal support.
