This includes licensing, software ownership, technology transfers, distribution arrangements, franchising, content rights, brand use, confidentiality, IP assignments and the commercial exploitation of intellectual property. My approach is practical rather than formulaic. I look at: • what the agreement or transaction is commercially trying to achieve; • where the legal and financial exposure sits; • which provisions actually require negotiation; and • how the document can protect the client without making the commercial relationship unnecessarily difficult.
