40 Years as Corporate Counsel and Business Advisor in Legal Services

I’ve been a practicing attorney for more than forty years, specializing in corporate, regulatory, and securities law. Along the way, I’ve also earned an MBA and founded four companies of my own—experiences that give me a uniquely practical understanding of how law and business intersect. Over the course of my career, I’ve advised more than 1,000 startups and early-stage entrepreneurs, helping founders and companies navigate every stage of growth—from formation and financing to mergers, acquisitions, and compliance. My focus is always the same: to provide clear, actionable legal guidance that aligns with real-world business goals. Many of my clients retain me on a long-term basis as Outside Counsel, where I serve as an ongoing legal and strategic partner. I assist with corporate governance, contract negotiation, intellectual property licensing, employment and contractor relationships, securities offerings (Reg A+, Reg D, Reg CF, Reg S), and mergers & acquisitions. A graduate of the University of Pennsylvania, New York Law School, and NYU Stern School of Business (MBA), I bring both legal depth and business insight to every engagement—and a steadfast commitment to helping clients build and sustain strong, compliant, and successful enterprises. I practice in the following disciplines: General Business Law: -Contract Law -Contract and Deal Negotiations -Corporate Formation and Governance -Intellectual Property: Licensing, Copyright, Trademark -Employment, Independent Contractor and Services Agreements -International Law -Regulatory Law -Startup Law -Web Operator Disclosures (TOS/T&C, PP, GDPR) Securities and Finance -Offering Documents, PPM, Subscription Agreements -Convertible Notes, SAFEs, and other similar investment vehicles -Startup Financing -SEC exemptions: Regulations A+, Reg D (506b, 506c), Reg S, Reg CF - Mergers & Acquisitions --Asset Purchase Agreements --Stock Purchase Agreements -Legal Opinions/Howey Test Securities Law -The Securities Exchange Act of 1934 -The Securities Act of 1933 -Securities and Exchange Commission regulations and rules -State Blue Sky Laws -Financial Industry Regulatory Authority regulations and rules -North American Securities Administrators Association -Investment Company Act of 1940 --Investment Advisor Licensing I welcome further discussions regarding your needs.
